By accessing or using the services provided by Individual Entrepreneur Dmitrii Khaiurov, ID: 302320094, operating as Musedia ("Musedia", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Musedia provides an AI-powered audio guide platform for museums and cultural institutions, including:

• AI-generated audio content and translations
• Mobile applications for visitor experiences
• Content management dashboards
• Visitor analytics and insights
• API access for custom integrations

3. User Accounts

To access our services, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information
• Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Upload content that infringes intellectual property rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use automated systems to access our services without permission
• Transmit malware or other harmful code

5. Content Ownership

5.1 Your Content

You retain ownership of content you upload to our platform. By uploading content, you grant us a non-exclusive license to use, process, and display your content as necessary to provide our services.

5.2 AI-Generated Content

Content generated by our AI tools based on your inputs belongs to you. However, we retain the right to use anonymized and aggregated data to improve our AI systems.

5.3 Our Content

All other content, features, and functionality of our services are owned by Musedia and are protected by copyright, trademark, and other intellectual property laws.

6. Pricing and Payment

• Pricing is as displayed on our website or as agreed in your contract
• Payments are due according to your billing cycle
• We reserve the right to modify pricing with 30 days notice
• Refunds are handled according to our refund policy

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

7. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use our services will cease immediately. You may export your content before termination.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Musedia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

10. Indemnification

You agree to indemnify and hold harmless Musedia and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date.

13. Nature of Service

Musedia is a fully automated Software-as-a-Service (SaaS) platform. All services, including audio guide generation, content management, and visitor analytics, are delivered entirely through our digital platform without any human-driven or manually delivered service components. All content is generated by artificial intelligence, and the platform operates autonomously once configured by the museum administrator. No human-performed services are included in any subscription plan.
